Terms of Service

​1. Acceptance of Terms
​Welcome to Restify. By accessing or using our website (www.restify.so) and our cloud-based Point of Sale (POS) and Enterprise Resource Planning (ERP) software (collectively, the "Service"), you agree to be bound by these Terms of Service. If you are accepting on behalf of a restaurant, bakery, or other corporate entity, you represent that you have the authority to bind that entity to these terms.

​2. Description of Service
​Restify provides a specialized, cloud-based restaurant management platform designed for the Food & Beverage (F&B) industry. The Service includes features such as order processing, table management, recipe and manufacturing batch tracking, inventory management, and reporting. As a cloud-native platform, an active internet connection is required for real-time synchronization and optimal performance.

​3. Account Registration and Responsibilities
  • ​Account Creation: You must provide accurate and complete information when creating a business account.
  • ​User Management: As the business owner (Administrator), you are entirely responsible for managing Role-Based Access Control (RBAC) for your staff. You are responsible for all activities that occur under your staff accounts, including voided tickets, inventory adjustments, and cash register discrepancies.
  • ​Security: You must safeguard your account credentials. Restify is not liable for any loss or damage arising from your failure to protect your login information or staff PINs.

​4. Subscription, Billing, and Payments
  • ​SaaS Subscription: Restify is provided as a Software-as-a-Service (SaaS) subscription. Billing is conducted on a recurring basis (monthly or annually) as per your selected plan.
  • ​Payment Terms: Fees are billed in advance and are non-refundable. There are no refunds or credits for partial months of service or for periods where the account was active but the Service was unused.
  • ​Price Changes: We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price changes take effect on your next billing cycle.

​5. Intellectual Property and Data Ownership
  • ​Restify's IP: We retain all rights, title, and interest in and to the Restify platform, including its source code, UI/UX design, architecture, and documentation. You may not copy, modify, reverse engineer, or create derivative works from the Service.
  • ​Your Data: You retain full ownership of the data you input into the Service, including your menus, proprietary recipes, manufacturing formulations, customer lists, and financial data ("Customer Data"). By using Restify, you grant us a limited, non-exclusive license to host, process, and display this data solely for the purpose of providing the Service to you.

​6. Acceptable Use Policy
​You agree not to use the Service to:
  • ​Conduct any illegal, fraudulent, or unauthorized business activities.
  • ​Upload or transmit viruses, malware, or any malicious code.
  • ​Attempt to gain unauthorized access to our cloud servers, databases, or other users' accounts.
  • ​Interfere with or disrupt the integrity or performance of the Service.

​7. Third-Party Integrations
​Restify may integrate with third-party services, such as Mobile Money providers, SMS gateways, and accounting software.
  • ​We do not endorse or assume liability for the performance, uptime, or security of these third-party services.
  • ​If a third-party payment gateway or telecom API experiences downtime, Restify is not responsible for delayed or failed transactions.

​8. Service Availability and Support
​We strive to ensure maximum uptime for our cloud servers. However, the Service may be occasionally interrupted for scheduled maintenance, updates, or technical emergencies. We will make reasonable efforts to notify you in advance of planned downtime. Restify does not guarantee uninterrupted service and is not liable for lost revenue due to system outages or internet connectivity failures at your physical location.

​9. Limitation of Liability
​To the maximum extent permitted by law, Restify and its founders, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of profits, loss of data, loss of goodwill, or business interruption arising out of your use or inability to use the Service. In no event shall Restify’s total liability to you exceed the total amount you paid to us for the Service during the twelve (12) months preceding the claim.

​10. Termination
  • ​By You: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current paid billing cycle.
  • ​By Restify: We reserve the right to suspend or terminate your access to the Service immediately, without notice, if you breach these Terms of Service or fail to pay subscription fees. Upon termination, you will have 30 days to export your Customer Data, after which it may be permanently deleted from our servers.

​11. Changes to the Terms
​We may update these Terms of Service from time to time. If we make material changes, we will notify you via email or through an in-app notification. Continued use of the Service after changes are published constitutes your acceptance of the revised terms.
